2. Registration and Access

2.1 User Obligations

Provide accurate and up-to-date registration details, including Email ID, Mobile Number, Business Address, and Company Type. Ensure the confidentiality of login credentials and promptly report unauthorized access.

2.2 System Requirements

Compatible Operating Systems: Windows 11 and macOS 2024+. Recommended Hardware: Desktop with a 24" monitor. Internet connection is required for cloud-based functionality.

2.3 Geographical Restrictions

The Software is licensed exclusively for use in Indian state regions.

3. Payment Terms

3.1 Subscription Fees

The present subscription fee for the Software, covering all available features, is [Insert Fee Amount]. Charges for future feature updates or additional functionalities will be communicated and billed separately.

3.2 Pricing and Taxation

All prices include GST (Goods and Services Tax) as per applicable Indian tax norms. The Company's GSTIN is 29AADCU1926B1ZK. Users will receive a GST-compliant invoice upon successful payment.

3.3 Payment Methods

Accepted methods include Credit/Debit Cards, Net Banking, and UPI payments through RBI-registered banks. Payments are processed through secure, PCI-compliant gateways.

3.4 Payment Confirmation

Users will receive an email confirmation and receipt after payment is successfully processed. Access to the Software will be activated upon confirmation of payment.

3.5 Non-Payment or Delayed Payment

The Company reserves the right to suspend access to the Software in cases of non-payment or delayed payment. Reinstatement of access requires payment of outstanding dues, including any applicable penalties.

4. Data Loss Disclaimer

4.1 Data Loss Responsibility

The Company is not responsible for any data loss, corruption, or damage occurring on the User's computer, gadgets, or devices while using the Software.

4.2 Data Backup Recommendation

Users are advised to maintain regular backups of their data to avoid potential losses.

5. Prohibited Activities

5.1 Restricted Actions

Users must not: Reverse-engineer, modify, or copy the Software. Share, resell, or sublicense the Software without prior written consent. Use the Software for any illegal or unauthorized purpose.

6. Service Availability

6.1 Support Hours

Monday to Friday, 9:00 AM to 5:00 PM IST (excluding national/regional holidays).

6.2 Technical Resolution

Issues will be resolved within four (4) working days, excluding weekends and holidays.

6.3 Downtime

The Company is not liable for disruptions caused by scheduled maintenance, network issues, or force majeure events. Advance notice will be provided for scheduled maintenance whenever feasible.

7. Data Protection

7.1 Data Security

The Company ensures that all User data is encrypted and complies with the Indian Personal Data Protection Bill.

7.2 Data Sharing

User data will not be shared or sold to third parties without explicit consent.

8. Governing Law and Dispute Resolution

8.1 Jurisdiction

This Policy is governed by the laws of India, and disputes shall be resolved in the courts of Mangalore, Karnataka.

9. Intellectual Property Rights

9.1 Ownership

The Software and all associated intellectual property rights are the exclusive property of the Company.

9.2 User License

Users are granted a non-exclusive, non-transferable, revocable license to use the Software for internal business use only, in accordance with this Policy.

9.3 Content Ownership

Users retain ownership of their data but allow the Company to access it solely for support or performance enhancement purposes.

10. Termination and Suspension

10.1 Jurisdiction

Users may terminate their subscription at any time. Subscription fees paid are non-refundable.

The Company may suspend or terminate a User's access for violations of this Policy or legal requirements.

Users may request data export within 7 days of termination. After this period, the data may be deleted.

11. Limitation of Liability

11.1 Indirect and Consequential Damages

The Company is not liable for indirect, incidental, or consequential damages resulting from use or inability to use the Software.

11.2 Liability Cap

Maximum liability is limited to the total subscription fees paid by the User in the six months preceding the claim.

12. Updates and Modifications

12.1 Right to Update

The Company reserves the right to update this Policy at any time.

12.2 Notice of Material Changes

Material changes will be communicated at least 7 days in advance via email or the Software dashboard. Continued use constitutes acceptance.

13. Feedback and Suggestions

13.1 Voluntary Feedback Submission

Users may submit feedback voluntarily.

13.2 Use of Feedback by the Company

The Company may use such feedback without obligation or compensation.
